1. Who we are

These Terms & Conditions (“Terms”) govern the use of the Prompted website (prompted.co.za) and any services we provide through it (“Services”). “Prompted”, “we”, “us” or “our” refers to Prompted, based in Cape Town, South Africa. “Client”, “you” or “your” refers to any person or business using our website or engaging our Services.

By using this website or booking any Services with us, you agree to these Terms.

2. What this website is for

  • The website is for information and portfolio purposes and to allow you to enquire, book calls and request proposals.
  • Nothing on this site is a guarantee of specific results (ROAS, conversions, revenue, etc.).
  • We may update or remove content, pages or services at any time without notice.

3. Using our website

You agree not to:

  • Use this website for any unlawful purpose.
  • Attempt to gain unauthorised access to the site, server or other systems.
  • Copy, scrape or reuse content, images, videos or code without our written consent.

We may suspend or restrict access if we believe the site is being misused.

4. Proposals, quotes & bookings

  • Any pricing shown on the website is an indication of typical packages and may change based on scope, urgency or complexity.
  • A project only starts once scope has been agreed in writing and the required deposit has been paid and cleared.
  • Discovery calls are not legal, financial or business advice – they are for understanding your goals and whether we’re a fit.

5. Payments, deposits & refunds

  • Unless agreed otherwise, projects require a 50% deposit to begin and 50% on approval before go-live or final delivery.
  • Deposits are non-refundable once work has started.
  • Where project work is paused or cancelled by you, any work completed to date is billable.
  • Late payments may delay delivery. We may pause work until outstanding amounts are settled.

6. Scope, revisions & additional work

  • Each package includes a clearly stated number of revision rounds.
  • Revisions are for refining existing work, not for new directions or extra deliverables.
  • Any work outside the agreed scope will be quoted and agreed before we proceed.
  • Rush timelines may attract an additional fee, agreed in advance.

7. Content you provide

You are responsible for the accuracy and legality of all content, product information, imagery, copy and brand assets you supply, and confirm that you own or have valid permission to use them. You warrant that they do not infringe any third-party rights.

8. Ownership & intellectual property

  • Once a project is fully paid, you receive a licence to use the final deliverables for your business.
  • We retain ownership of underlying working files, prompts, design systems, frameworks, scripts and processes.
  • We may feature your project in our portfolio and marketing unless we’ve agreed otherwise (for example, a temporary NDA).

9. Use of AI tools

Prompted uses AI tools as part of our creative and production process. AI is used to accelerate and enhance work, but final creative is reviewed by a human before delivery. Because AI tools are evolving, we cannot guarantee that outputs will never contain minor artefacts; you remain responsible for reviewing assets to ensure they meet your internal and legal requirements.

10. Third-party platforms & integrations

Our work may involve services such as Shopify, Meta, TikTok, Google, email platforms and analytics. Each has its own terms and policies, which you must comply with. We are not liable for downtime, suspensions or changes made by these third parties.

11. Performance & results

We follow best practice and performance thinking, but we do not guarantee specific outcomes such as revenue, ROAS, rankings or growth. Performance depends on many factors beyond our control, including your offer, pricing, market and ad spend.

12. Data & privacy

We may collect basic information when you contact us or work with us. This is used to respond to queries, manage projects and improve our services. For more information, please refer to our Privacy Policy.

13. Limitation of liability

To the fullest extent permitted by law, Prompted will not be liable for any indirect, incidental, special or consequential loss or damage (including loss of profits, revenue, data or business opportunities) arising from use of our website or Services. Our total liability for any claim relating to a project is limited to the total fees paid to us for that project.

14. Indemnity

You agree to indemnify and hold Prompted harmless from any claims, losses or expenses (including reasonable legal fees) arising from content you provide, misuse of the website or Services, or breach of these Terms.

15. Cancellations & rescheduling

Strategy calls can usually be rescheduled via our booking link. For project work, cancellations or pauses must be sent in writing. Work completed to date remains billable and deposits are non-refundable once work has begun.

16. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date will change accordingly. Continued use of the website or Services after changes means you accept the updated Terms.

17. Governing law & jurisdiction

These Terms are governed by the laws of South Africa. Any disputes will be subject to the exclusive jurisdiction of the courts of South Africa, with Cape Town as the primary forum.
